If you want to provide authentic cross-border advice, you have to have experienced and mastered the challenges of cross-border business yourself on a daily basis.” This quote comes from me, Rechtsanwalt (RAK Frankfurt am Main) and Abogado (ICAM) Florian Deck. Friedrich Schiller expressed this insight much better and more succinctly back in 1797 in the “Tabulae Votivae” in the Musenalmanach with the statement: “Believe life, it teaches better than orators and books“. Far removed from such wisdom, I have had the opportunity to gain valuable and longstanding professional experience in an international law firm in Frankfurt am Main and in the holding company of a global automotive supplier. As a result, I have been advising on European, German, Spanish and Austrian law in parallel for almost two decades now. I am a member of the German-Spanish and the Austrian-Spanish Lawyers’ Association.

Due to my admission as a German lawyer to the Frankfurt am Main Bar Association and as a Spanish lawyer(Abogado) to the Madrid Bar Association, I am authorized to represent clients before all German and Spanish courts (with the exception of civil matters before the Federal Supreme Court) without restriction and am also registered as a European lawyer with the Salzburg Bar Association. In Austria, I have unrestricted power of representation in all court proceedings, with the exception of those court proceedings for which there is a so-called absolute duty of representation (absolute Anwaltspflicht). I am authorized without restriction to advise on German, Austrian and Spanish law as well as on the laws of the European Union.

I am fluent in written and spoken German, Spanish (publicly appointed and sworn translator of the Spanish Language), English and French. With regard to the German, Spanish and English languages, I am also able to prepare the respective legal documents, such as articles of association, resolutions, transformation or reorganization agreements and related reports, in all areas of law covered by LEXPORTATEU’s field of activity in several languages. This reduces the need to involve translators who are often not legally trained or to coordinate with external lawyers and avoids linguistic inconsistencies between the individual language versions.

Constantly navigating between 3 legal worlds and jurisdictions presents various challenges. This begins with the task of diligently following case-law and scholars in all these legal systems and, where the opportunity arises, actively shaping them through specialist publications or by litigating landmark judgments before the courts. This is followed by the obligation to strictly adhere to the professional and deontological requirements of all these legal systems and to reconcile them in case of potential conflicts.

In the medium and long term, however, this effort bears fruit. Not only for myself, but especially for the unique consulting concept pursued by LEXPORTATEU and thus ultimately for our clients. Because only the constant comparative legal perspective from one legal system to another makes it possible to view economic facts and problems from a bird’s-eye perspective, to classify peculiarities of a single legal system in a global context, and to provide practical, globally applicable solutions. This opportunity naturally remains closed to consultants who advise only in a single legal system and have never left the ivory tower of their office building in their home country. In contrast, LEXPORTATEU’s ubiquitous virtual consulting concept makes it possible to be at home in all legal systems of this world simultaneously. Many Meanings

Have you ever wondered what the name “LEXPORTATEU” means?

If you answer “yes” to this question, we can reassure you: you are not the only one and we are delighted by your curiosity! There is also much more than just one correct answer to this question, as the deliberately chosen fantasy company name allows for many interpretations. In particular, not naming the law firm after the name of its founding partner initially appears to be a logical consequence of the legal crowdworking concept: LEXPORTATEU itself has hardly any permanent staff. Instead, project-related flash teams are assembled ad-hoc from various (independent) law firms and consultants worldwide, who go their separate ways again after the project is completed. It is rather a concept shaped by modern platform economics, representing a collective, flexible swarm intelligence that constantly and quickly adapts to the circumstances and needs of clients.

While this way of working is characterised by strong teamwork and inter-cultural competence, LEXPORTATEU is unfamiliar with the concept of a rigid, entrenched pack or esprit de corps shaped by strict hierarchies. Therefore, the firm also conveys one of our central values: the focus is not on the individual (and certainly not on the ego of any partner), but on the ad-hoc team as a collective and the needs of the client in their specific project.

In addition, the company components LEXPORTATEUs also emphasize several of our characteristic features: the word “LEX” undoubtedly alludes to the Latin word for “law” and thus to our product. The penultimate syllable “AT” is a reminiscence of our only physical location, Austria. The last syllable “EU” emphasizes that LEXPOETATEU’s consulting focus, despite its global orientation, lies primarily in the law of the EU and the individual member states’ legal systems. This is further emphasized by the word fragment “EXPORT” contained in the company name, which conveys that our legal advisory services are exported from a single physical location to the whole world, in particular the EU. Particularly creative contemporaries may also recognize the further company component “PORT”, which means “port” in many languages and thus gives clients the certainty that they are in good hands with us, as in asafe harbour.

To be legally considered as a cross-border corporate group, one need not bear the name Apple, Amazon, IKEA, or SAP – why this structuring option is particularly worthwhile for SMEs

 

Traditional cross-border corporate groups are typically characterised by the establishment of a subsidiary under the respective local law in each jurisdiction in which the group operates. Such structures are not only fraught with legal risks due to the diversity of applicable legal systems across the group entities, but they also hinder the implementation of a uniform management and organizational framework for the cross-border group, resulting in substantial costs.

However, within the EU and EEA, extensive options exist for the choice of applicable law to each comany of the group. LEXPORTATEU has therefore developed models specifically tailored to cross-border corporate groups, enabling the harmonisation of the legal form of individual group entities. This approach significantly mitigates the incompatibilities and divergences between various legal systems and reduces the complexity of the cross-border group to the level of a “simple” purely domestic corporate structure. As a result, both liability risks and the costs of ongoing external legal counsel abroad are substantially reduced.

How much I would give now if our company had already had its own contract templates or general terms and conditions back then.

 

Unfortunately, we often hear this statement from clients who turn to LEXPORTATEU after being sued in another country or having to file such a lawsuit or arbitration there to enforce their own claims. Depending on the jurisdiction, this can lead to economically unreasonable duration of proceedings, often lasting several years per instance, and can become unnecessarily costly with unpredictable outcomes—especially when the jurisdiction and the applicable law do not align.

 

Such problems can usually be easily prevented or reduced by including a jurisdiction and choice of law clause. And even if, in individual cases, you are unable to enforce your own contract templates and general terms and conditions, having your own templates at least ensures that those of the opposing party are not effectively agreed upon either. This often represents the only realistic way especially when dealing with powerful contractual partners to sign an otherwise legally unfavorable contract while still legally preventing the crippling of your own company.
